Terms and Software License Agreement

MazKir Terms and Conditions and Software License Agreement

Effective date: November 8, 2026
Provider: MrDigit Holdings LLC (“Company”)
Product: MazKir
Contact: support@mazkirs.com

1. Agreement and eligibility

These Terms govern use of MazKir desktop software, associated websites, subscription licensing, documentation, and support. By installing, activating, or using MazKir, you agree to these Terms. If you act for an organization, you represent that you are authorized to do so. Do not use MazKir if you do not accept these Terms. The applicable checkout terms of the merchant of record also apply to your purchase.

2. Product and permitted use

MazKir is a Windows meeting-intelligence application intended to assist with recording, transcription, meeting review, and retrieval of meeting information. Features depend on release, equipment, permissions, source applications, and configuration. A description of a planned feature is not a promise that it is already available. The Company makes no promise of compatibility with every computer, meeting system, media source, or customer-selected task.

3. License and devices

While you have an eligible trial or active subscription, the Company grants a limited, nonexclusive, nontransferable license to use MazKir on up to three activated devices per subscription. This license is for use of the software, not transfer of its ownership. You may not sell or redistribute the software, defeat license controls, or reverse-engineer it except where applicable law permits. The software uses a license key associated with an eligible subscription; it does not require a permanent MazKir username/password account. The Dodo-issued license key and its three-device limit govern activation. Device release may be managed through a secure, browser-based purchaser-verification service without a permanent MazKir login. Until the process is operational and tested, it must not be represented as a currently available feature.

4. Price and trial

The standard subscription price is US$19.95 per month, plus applicable taxes. New eligible subscribers are offered a 30-day introductory trial with a valid payment method required at checkout. The exact trial end, first charge, recurring amount, and cancellation method must be presented before authorization. For eligible December 2026 activations, the intended launch promotion provides at least 30 free days with no first charge before January 1, 2027; each checkout must disclose its actual trial and first-charge dates before acceptance. The offer shown on the completed checkout controls the transaction; the website must not contradict it. A subscription ordinarily renews automatically after the trial and each paid period unless canceled.

5. Payments and merchant of record

Dodo Payments is the intended merchant of record for sales processed through its hosted checkout. The identity of the actual seller of record and applicable payment terms are shown at checkout. Card details must be entered only into the payment provider’s authorized payment flow, not into a MazKir website form or desktop application. Payment disputes or chargebacks are subject to applicable payment-network, financial-institution, and merchant-of-record procedures.

6. Cancellation and continuing access

Customers may cancel an eligible subscription through a secure, browser-accessible self-service subscription-management process that verifies purchase ownership without requiring a permanent MazKir user account. No customer is required to contact support solely to request an ordinary cancellation. An effective cancellation stops future recurring renewals; it does not ordinarily refund the current period. A customer who cancels a paid subscription retains paid functionality until the applicable subscription expiration boundary (midnight UTC on the stated expiration date). This depends on Dodo being configured for end-of-period rather than immediate cancellation. A trial cancellation confirmed before the first scheduled charge avoids a paid renewal. Uninstalling the application does not cancel the subscription. The customer should retain the confirmation and stated end date. Cancellation may be subject to mandatory legal rights and payment-processing timing.

7. Subscription expiration and existing records

When a subscription expires, access within MazKir ends, including in-app review and export. MazKir does not intentionally delete, encrypt, relocate, or otherwise withhold previously recorded customer files because a subscription ended. Those files remain in their existing locations and may be accessed directly through Windows File Explorer using compatible programs. The Company does not promise new post-expiration tools to locate, open, convert, or export these files. This restriction and the exact UTC cutoff must be implemented and tested before launch. Customers are responsible for keeping their own backups; neither subscription status nor this policy guarantees recovery from storage loss.

8. Refunds

Paid subscription charges are generally nonrefundable; there are no routine prorated refunds when a customer cancels. Refund requests are assessed individually, including suspected unauthorized card use, duplicate charges, or billing errors. Approval is not automatic. Refunds, chargebacks, and statutory remedies are also subject to applicable law and merchant-of-record obligations. Report unauthorized transactions promptly to your bank/card issuer and to support@mazkirs.com. See the Refund and Cancellation Policy.

9. Recording consent and legal responsibility

You are responsible for determining and obeying the laws, notices, and permissions applicable to recordings. Depending on the people and places involved, some recordings may require permission from all participants. MazKir does not itself grant permission to record someone or override third-party application rules. You must not use MazKir for unlawful interception, surveillance, or unauthorized copying. MazKir does not provide legal advice. See Recording and Consent.

10. Copyright, DRM, and third-party platforms

MazKir is not intended to bypass digital rights management, encryption, copyright protections, or restricted-capture controls. An account or license does not grant any right to record or redistribute copyrighted films, broadcasts, subscription streaming services, or other protected material. Some content cannot be captured even when a user has lawful access to view it. Compatibility and capture results may vary when third-party software or protected media changes.

11. Local-first processing and optional connected services

MazKir is designed for local-first recording and AI processing. It may communicate with remote systems for licensing, billing, updates, websites, and user-initiated support; optional AI services may transmit information according to the customer’s configuration. Do not interpret “local-first” as a guarantee that absolutely no data ever leaves the device. Meeting content is not required for routine subscription validation. See the Privacy Policy.

12. Accuracy, evidence, and user judgment

Transcription and AI-generated answers, summaries, and action items may be incomplete or wrong. Verify consequential conclusions against original evidence. Recording metadata, hashes, or integrity features do not guarantee that a court or other authority will accept particular material. The software does not provide legal, medical, accounting, or financial advice.

13. Customer data, backups, and diagnostics

You retain your rights in lawfully created meeting content. You are responsible for lawful recording, access permissions, exports, and backups. Diagnostic packages sent voluntarily to support may contain technical information, meeting-related metadata, or meeting content depending on included files and settings. Review any package before sending it. The Company does not claim every report option defaults to off. See the Privacy Policy for handling of support information.

14. Intellectual property

The Company and its licensors retain rights in protectable software, trademarks, documentation, and website materials. Third-party and open-source licenses remain applicable. Some AI-generated materials may not qualify for independent copyright protection without sufficient human authorship. Send copyright complaints to support@mazkirs.com. Listing that address alone does not constitute federal DMCA-agent registration.

15. Availability, compatibility, and disclaimer

MazKir is not guaranteed to operate in every environment, with every application, or to accomplish any particular task. Results depend on operating systems, drivers, recording permissions, audio/video routing, other software, available resources, updates, security controls, and DRM. To the maximum extent permitted by law, the software is supplied “as is” and “as available,” without implied warranties of merchantability or fitness for a particular purpose. These disclaimers do not override express representations made at sale or statutory rights that cannot be excluded.

16. Limitation of liability

To the extent permitted by applicable law, the Company’s aggregate liability for a claim involving MazKir will not exceed the greater of US$100 or amounts paid for the affected subscription in the preceding 12 months. To the extent permitted by law, neither party is liable for indirect or consequential losses. This does not exclude liability or consumer remedies that cannot lawfully be excluded. This provision requires priority legal review.

17. Restricted use, suspension, and termination

You must not use MazKir for illegal recording, unlawful disclosure, infringement, interference with licensing systems, or other unlawful acts. Access may be suspended for material breach, fraud, or legitimate security reasons subject to law and required notices. Ending access does not transfer ownership of customer recordings to the Company.

18. Individual third-party arbitration

Before arbitration, either party should send a written dispute notice to support@mazkirs.com and allow 30 days for good-faith informal resolution. Except for claims eligible for small-claims court, nonarbitrable claims, or legal rights that cannot be waived, disputes between the customer and MrDigit Holdings LLC arising from these Terms or use of MazKir will be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) under the applicable consumer rules. Arbitration fees and procedures will follow the applicable AAA rules and mandatory law. A neutral arbitrator will decide the dispute; judicial review is limited by applicable law. To the extent legally permitted, claims are resolved individually rather than on a class or representative basis. Arbitration does not restrict reporting to a regulator, asserting nonwaivable statutory rights, or disputing an unauthorized card charge through a bank or Dodo Payments. The Federal Arbitration Act governs this arbitration agreement to the extent applicable. The class waiver, fee allocation, delegation, opt-out and consumer enforceability questions require priority counsel review.

19. Governing law and changes

Texas law governs these Terms to the extent permitted by law, without negating mandatory protections available elsewhere. Material changes will be announced as legally required and will not retroactively remove nonwaivable rights. If a provision is unenforceable, the remaining terms remain effective to the extent possible.
